Florida State Filing LLC ("FSF," "Company," "we," "us," or "our") provides business filing, compliance, and corporate support services. Due to the nature of these offerings, all payments to FSF are considered final and non-refundable, except as specifically described in this Refund & Cancellation Policy. By using our Website and Services, you ("User," "Client," "you," or "your") agree that all refund and cancellation requests must follow the procedures outlined here, and must be submitted through the official refund request process before initiating any dispute or chargeback. FSF may use affiliates or third-party providers, including payment processors, for transactions. The same refund and cancellation terms apply to these third-party transactions.
HOW TO REQUEST A REFUND
Submit Your Refund Request
Log in to your account and go to "Billing and Payments" → "Request a Refund."
- Refund requests sent by email, phone, or live chat will not be processed.
Provide All Required Information
Include the following details with your request:
- Order number
- Transaction date
- Payment method
- Detailed reason for the refund
Refund requests must be submitted within 7 days of purchase unless otherwise stated.
Processing Timeline
- Refunds are reviewed and processed within 10 business days.
- You will receive an email confirmation when your refund is approved or denied.
- Failure to follow this process may result in automatic denial.
NON-REFUNDABLE FEES & SERVICES
Certain fees and services are always non-refundable due to immediate processing or third-party involvement.
Government Fees
- Payments to state or federal agencies (e.g., Secretary of State, IRS, FinCEN, Sunbiz) are non-refundable and governed by those agencies' rules.
- If a government agency rejects, delays, or changes a filing, those fees remain non-refundable.
Third-Party Provider Fees
- FSF may use third-party payment processors, compliance partners, or document services.
- Any fees charged by these providers are non-refundable, regardless of service status.
Services Already Submitted or Completed
Once a service is submitted to a government agency or completed, no refund will be issued. This includes:
- Business entity formations (LLCs, corporations, partnerships, etc.)
- Registered Agent services
- Annual report filings
- Beneficial Ownership Information (BOI) reports
- Reinstatements
- Name reservations or amendments
Expedited & Rush Services
- Expedited processing fees are non-refundable once an order is placed.
- If a User requests expedited service but the agency does not process it on time, FSF is not responsible for external delays.
Custom or Personalized Services
- Any service requiring manual preparation, document customization, or business consulting is non-refundable once work has started. This includes:
- Business consultation
- Custom document drafting
- Licensing and permit application assistance
Subscription-Based Services
- If FSF offers recurring billing or subscriptions, cancellation requests must be submitted before the next billing cycle.
- No refunds are issued for past subscription payments.
ORDER CANCELLATIONS & REFUND ELIGIBILITY
Refund eligibility depends on the order status at the time of cancellation:

Partial refund may be issued at FSF's discretion.

FSF reserves the right to deny refund requests for orders that have entered processing unless otherwise stated.
BILLING INQUIRIES, DISPUTES & CHARGEBACKS
Contact Support for Billing Issues
Clients must contact FSF through the Support Center before disputing any charges.
- Billing inquiries must be submitted through the Support Center; responses may take up to 5 business days.
Chargebacks & Disputes
- Any chargeback or dispute initiated with a bank, card issuer, or payment processor without first attempting resolution with FSF will result in penalties and possible legal action.
- Unauthorized chargebacks incur the following penalties:
- Chargeback Recovery Fee: $500 per disputed transaction.
- Legal Action Fee: $5,000 if legal action is required to recover lost funds.
- Account Suspension: FSF may suspend or terminate services for Clients who initiate chargebacks without following the refund process.
- If you believe you were charged incorrectly, you must provide proof (e.g., duplicate charges, incorrect pricing).
- Failure to follow this process may result in account suspension, denial of future services, or legal action.
REFUND PROCESSING & PAYMENT METHODS
Processing Time
Approved refunds are processed to the original payment method.
Refunds to cards or ACH may take up to 10 business days to appear in your account.
FSF is not responsible for banking delays, currency conversion fees, or third-party processing times.
NO REFUNDS FOR DISSATISFACTION OR BUYER'S REMORSE
Refunds will not be granted for:
Dissatisfaction with a government agency's response, processing time, or outcome.
Failure to read and understand FSF's Terms of Use, Refund Policy, or Service Limitations.
Failure to use the purchased service within a reasonable period.
FSF provides clear service descriptions before purchase. Users are responsible for understanding the scope of each service before payment.
GOVERNING LAW & DISPUTE RESOLUTION
All refund disputes are governed by the laws of the State of Florida.
Any disputes related to refunds or cancellations will be resolved exclusively in the courts of Tallahassee, Florida.
Users waive their right to participate in class-action lawsuits regarding refund claims.
