Terms of Service for Florida State Filing LLC

By using the Florida State Filing LLC website (the "Site") or any related services ("Services"), you agree to be bound by these Terms of Service (the "Terms") and comply with all applicable laws and regulations. This Terms of Service Agreement ("Agreement") forms a binding legal contract between Florida State Filing, LLC ("FSF," "Company," "we," "us," or "our") and any User ("User," "Client," "you," or "your") who accesses, browses, interacts with, or utilizes https://flfiling.com (the "Website") and any related services provided by FSF (the "Services").

By using or accessing the Website or Services, you confirm that you have read, understood, and agree to be legally bound by this Agreement. If you do not accept these Terms, you must immediately discontinue use of the Website and Services.

Binding Effect of This Agreement

This Agreement is enforceable between:

  • FSF as the provider of business formation, compliance, and support services.

  • All Users ("Clients"), including individuals, businesses, representatives, and entities accessing or using FSF's Services.

By using FSF's Website or Services, Users acknowledge they have read, understood, and agree to comply with the terms set forth in this Agreement.

Who Is Covered by This Agreement:

  • Registered Users

    Individuals who create an account on FSF's Website.

  • Non-Registered Users

    Visitors who browse or access information without registering.

  • Business Entities

    Companies, corporations, partnerships, and other legal entities using FSF's Services.

  • Authorized Representatives

    Individuals acting on behalf of a business or another person.

Users further represent and agree that:

  • They possess the legal authority to enter into this Agreement on their own behalf or for a business entity.

  • They will comply with all applicable laws, regulations, and FSF policies while using the Services.

  • Any misuse, fraud, or violation of these Terms may result in suspension, termination, or legal action.

Acceptance of Terms & Conditions

By accessing, browsing, or using the Website and Services, Users:

  • Acknowledge that they have read, understood, and agree to be legally bound by these Terms.

  • Consent to the collection, use, and storage of their data as described in FSF's Privacy Policy.

  • Agree to comply with all laws and regulations related to business filings, compliance, and regulatory obligations.

If a User does not accept or comply with these Terms, they must immediately stop using the Website and Services.

FSF's Right to Amend Terms

FSF reserves the right to modify, update, or change this Agreement at any time, with or without prior notice.

Modification Conditions:

  • Terms may be updated to reflect changes in law, business practices, or operational needs.

  • Modifications become effective immediately upon posting on the Website.

  • FSF is not required to notify Users individually of changes.

User's Duty to Stay Informed:

  • Users are responsible for reviewing the Terms regularly to remain aware of any updates.

  • Continued use of the Website or Services after changes constitutes acceptance of the revised Terms.

If you do not agree with any modifications, your sole remedy is to discontinue use of the Website and Services.

Governing Law & Jurisdiction

This Agreement is governed by and interpreted under the laws of the State of Florida.

  • Any disputes arising from these Terms will be resolved exclusively in the state or federal courts located in Tallahassee, Florida.

  • Users waive the right to participate in class-action lawsuits related to this Agreement.

  • Non-compliance with these Terms may result in legal action, service suspension, or financial penalties.

2 – DEFINITIONS

For the purposes of this Terms of Use Agreement, the following definitions apply. These definitions are intended to clarify and establish the meaning of key terms referenced throughout this Agreement.

By accessing or using the Website and Services, Users ("User," "Client," "you," or "your") agree to the definitions set forth in this section. If any term is ambiguous, the interpretation most favorable to FSF will prevail.

Website

"Website" means:

  • https://flfiling.com, including all affiliated subdomains, web pages, digital platforms, and integrated services operated by FSF.

  • Any web-based applications, mobile interfaces, or online portals that provide access to FSF's Services.

  • All content, tools, resources, or features made available through FSF's online platform.

Users acknowledge that the Website's availability, features, or design may be modified at any time without prior notice.

"User" or "Client"

A "User" or "Client" refers to:

  • Any individual, business entity, or representative who accesses, interacts with, or utilizes FSF's Services.

  • Any authorized person or agent acting on behalf of a company, partnership, or other legal entity using the Services.

  • Any individual who creates an account, submits a service request, or otherwise engages with FSF's online platform.

User Obligations

  • By using the Website or Services, the User represents and warrants that they have the legal authority to enter into this Agreement and comply with all applicable laws and regulations.

Business Entity Representatives

  • If a User acts on behalf of a business entity, they must have legal authorization to bind that entity to this Agreement.

  • FSF assumes all orders submitted are authorized and is not responsible for verifying the User's authority.

Unauthorized Use

  • Any unauthorized use of FSF's Services, including fraudulent activity or misrepresentation, is strictly prohibited and may result in account suspension, service termination, or legal action.

Services

"Services" means the full range of corporate compliance and business registration solutions provided by FSF, including but not limited to:

Business Entity Formation & Incorporation

  • Filing Articles of Incorporation or Organization for new corporations, LLCs, partnerships, or other entities.

  • Name availability searches, business registration, and state compliance filings.

  • Assisting with EIN (Employer Identification Number) applications for new businesses.

Annual Report Filings

  • Filing required state reports to maintain business compliance and avoid penalties.

  • Tracking annual report deadlines and providing timely reminders for compliance.

Beneficial Ownership Information (BOI) Reporting

  • Assisting businesses with BOI compliance filings under federal regulations.

  • Submitting required information to government agencies on behalf of Clients.

Registered Agent Services

  • Serving as the official point of contact for legal notices and government correspondence.

  • Maintaining compliance with state regulations regarding registered agents.

Corporation Reinstatement Services

  • Helping dissolved or inactive entities regain good standing.

  • Filing necessary reinstatement paperwork with the appropriate state agencies.

  • Resolving outstanding compliance issues that led to administrative dissolution.

Corporate Compliance Solutions

  • Providing compliance monitoring, reminders, and filing assistance for state and federal regulations.

  • Helping businesses meet tax and corporate reporting obligations.

  • Advising on corporate structure changes, amendments, and conversions.

Additional Services via Affiliates & Third-Party Providers

  • FSF may offer additional services through strategic partnerships, affiliate programs, and third-party vendors.

  • These may include, but are not limited to, legal consultation, accounting, tax preparation, business insurance, and financial advisory solutions.

  • FSF does not directly provide legal or tax services but may refer Clients to trusted third-party professionals.

Third-Party Providers

"Third-Party Providers" means external service providers, partners, and payment processors that facilitate or support FSF's Services, including:

Government Agencies & Compliance Regulators

  • State and federal agencies responsible for business filings, corporate registrations, and regulatory compliance.

  • Examples: Secretary of State offices, IRS (Internal Revenue Service), FinCEN (Financial Crimes Enforcement Network), and other government entities.

  • FSF is not responsible for delays, errors, or rejections caused by government agencies.

Payment Processors & Financial Institutions

  • Third-party payment platforms, banks, and financial service providers that handle transactions on behalf of FSF.

  • Examples: Stripe, PayPal, ACH processors, and credit card payment gateways.

  • FSF does not store full payment details and is not liable for issues arising from third-party payment processing errors.

Technology & Hosting Providers

  • Cloud service providers, cybersecurity firms, and web hosting platforms that maintain the Website's infrastructure.

  • These providers ensure data security, uptime reliability, and service availability.

Marketing & Affiliate Partners

  • Third-party businesses that promote FSF's Services through referral programs or partnerships.

  • FSF is not responsible for misrepresentations, unauthorized claims, or misleading advertisements by independent affiliates.

Legal, Tax, & Compliance Partners

  • Independent law firms, CPA firms, or compliance specialists that offer related services.

  • FSF does not provide legal or tax advice directly but may refer Clients to third-party professionals.

Other External Service Providers

  • Companies offering business solutions that integrate with FSF's platform, such as virtual office services, trademark registration, and credit-building programs.

No Endorsement or Liability for Third-Party Services

By using FSF's Website and Services, Clients acknowledge and agree that:

  • FSF is not responsible for third-party providers' services, terms of use, or policies.

  • FSF does not guarantee the performance, accuracy, or reliability of third-party services.

  • Clients should review the terms, privacy policies, and disclaimers of any third-party provider before engaging with them.

Governing Law & Interpretation of Definitions

  • All definitions outlined in this section shall be interpreted under the laws of the State of Florida.

  • If any definition is found to be ambiguous, the interpretation most favorable to FSF shall apply.

  • FSF reserves the right to modify, update, or redefine any term as necessary to reflect business operations.

3 – ELIGIBILITY & ACCOUNT REGISTRATION

Overview

Florida State Filing, LLC ("FSF," "Company," "we," "us," or "our") provides corporate filing, compliance, and business registration services. To access and use FSF's Website and Services, Users ("User," "Client," "you," or "your") must satisfy specific eligibility standards and adhere to registration protocols.

By registering an account or using FSF's Services, you represent, warrant, and agree to the conditions set forth in this section. FSF reserves the right to suspend or terminate accounts if any eligibility requirements are not met or if fraudulent, misleading, or unlawful activity is suspected.

Age & Legal Authority Requirement

  • Users must be at least 18 years of age to open an account and utilize FSF's Services.

  • Users must possess the legal capacity to enter into binding agreements under applicable law.

  • If registering on behalf of a business entity, the User must:

  • a) Have full legal authority to act for and bind the entity.

  • b) Ensure all submitted information accurately reflects the entity's legal status.

FSF does not verify a User's authority to represent an entity and presumes all registrations are valid and authorized.

Accuracy of Information Provided

By creating an account or submitting a service request, Users agree to provide true, accurate, and complete information, including but not limited to:

  • Full legal name
  • Business name (if applicable)
  • Current mailing address and contact details
  • Valid email address and phone number
  • Taxpayer Identification Number (TIN) or Employer Identification Number (EIN), if required

Obligation to Maintain Accurate Information

  • Users must promptly update their account details if any information changes.

  • Supplying false, misleading, or outdated information may result in delays, service denial, or account termination.

  • FSF is not responsible for errors, delays, or government rejections caused by inaccurate information provided by the User.

Verification of Information

  • FSF reserves the right to request additional documentation to verify a User's identity or business legitimacy.

  • Failure to comply with a verification request may result in service suspension, order cancellation, or legal action.

Restrictions on Use & Prohibited Activities

Users agree not to use the Website or Services for any unlawful, fraudulent, or unauthorized purposes, including but not limited to:

Fraudulent or Misleading Registrations

  • Registering a business entity using false, stolen, or misleading information.

  • Misrepresenting ownership, business structure, or legal standing.

  • Attempting to impersonate another individual or business entity.

Unlawful or Unauthorized Business Activities

  • Using FSF's Services for money laundering, tax evasion, identity theft, or illegal financial transactions.

  • Registering a business entity to engage in fraudulent, deceptive, or unlawful practices.

  • Attempting to use FSF's Services in jurisdictions where they are not legally permitted.

Security Violations & Misuse of Website

  • Attempting to hack, disrupt, or interfere with FSF's Website, database, or payment processing systems.

  • Accessing restricted areas of the Website without authorization.

  • Distributing malware, phishing attempts, or other malicious software through the Website.

Violation of FSF Policies & Intellectual Property

  • Copying, scraping, or reproducing content from FSF's Website without permission.

  • Using FSF's trademarks, logos, or proprietary materials without authorization.

  • Engaging in negative campaigns, defamation, or misleading statements about FSF (see Section 10 – Non-Disparagement Clause).

Right to Suspend or Terminate Accounts

FSF reserves the right to suspend, restrict, or terminate User accounts at its sole discretion if:

  • Fraudulent, misleading, or incomplete information is provided during registration.

  • A User engages in unauthorized or illegal activity using FSF's Services.

  • Payment disputes, chargeback fraud, or multiple failed payment attempts occur.

  • A User violates any of the Terms outlined in this Agreement.

Suspension Process & Notice

  • FSF will attempt to notify the User via email before suspending or terminating an account.

  • However, in cases of fraud, illegal activity, or severe violations, immediate termination may occur without prior notice.

Consequences of Account Termination

  • Users will lose access to their account, service history, and pending filings.

  • Any services in progress may be canceled, and refunds will not be issued for terminated accounts.

  • FSF may report fraudulent or unlawful activity to government authorities or law enforcement.

Multiple Accounts & Account Sharing Restrictions

  • Each User is permitted only one registered account unless expressly approved by FSF.

  • Accounts may not be shared, transferred, or sold to another individual or entity.

  • Any unauthorized use or multiple registrations may result in account suspension or termination.

Account Security & User Responsibility

Users are responsible for maintaining the security and confidentiality of their account credentials.

Account Access & Unauthorized Use

  • Users must not share passwords or login details with third parties.

  • If unauthorized access is suspected, the User must notify FSF immediately.

  • FSF is not responsible for losses or damages resulting from unauthorized account access due to User negligence.

Account Recovery & Password Reset

  • If a User loses access to their account, a password reset request must be submitted through the Support Center.

  • FSF may require identity verification before granting access to a locked or compromised account.

Compliance with Local & International Laws

Users must comply with all applicable laws, regulations, and licensing requirements when using FSF's Services.

  • If operating outside the United States, Users are responsible for ensuring compliance with their local business registration laws.

  • FSF is not liable for a User's failure to comply with federal, state, or international regulations governing their business.

Governing Law & Interpretation of Definitions

  • All disputes related to account registration, suspension, or eligibility shall be governed by the laws of the State of Florida.

  • Users agree to resolve disputes through arbitration in Tallahassee, Florida, as outlined in Section 8 – Dispute Resolution & Governing Law.

  • No class-action lawsuits or jury trials shall be permitted for account-related disputes.

4 – DESCRIPTION OF SERVICES & PROCESSING TIME

Overview

Florida State Filing, LLC ("FSF," "Company," "we," "us," or "our") offers a comprehensive suite of business filing and compliance solutions, including but not limited to:

  • Business entity formation and incorporation
  • Annual report filings
  • Beneficial Ownership Information (BOI) reporting
  • Registered Agent services
  • Corporation reinstatement services
  • Corporate compliance solutions
  • Additional services delivered through affiliates and third-party partners

FSF strives to process all orders efficiently; however, turnaround times are influenced by factors outside our control, such as government agency schedules, third-party vendors, and client responsiveness. By utilizing FSF's Services, Clients ("User," "you," or "your") acknowledge that all processing times are estimates only and that meeting compliance deadlines is ultimately their own responsibility.

Standard Processing Timeframes

  • FSF typically processes orders within 3 business days, provided all required information and documentation are submitted accurately and in full.

  • State and federal agencies may require additional time to review and approve filings, and FSF cannot be held responsible for such external delays.

  • If a submission contains errors, omissions, or incomplete data, processing will be paused until the Client provides the necessary corrections.

  • Expedited processing may be available for an extra fee, but is still subject to the timelines of government agencies and third-party providers.

Factors That May Affect Processing Times

While FSF aims for prompt service, the following factors may impact overall processing duration:

Government & Regulatory Delays

  • Backlogs at state or federal agencies may extend processing times beyond FSF's control.

  • Regulatory changes, audits, or new compliance requirements can introduce additional steps or delays.

  • Government holidays or office closures may temporarily halt filings or approvals.

Client Submission Errors or Omissions

  • Incomplete or inaccurate information from the Client may result in delays or rejections.

  • If a filing is returned or rejected by a government agency, FSF will notify the Client, but it is the Client's duty to correct and resubmit the required information.

Third-Party Service Providers & Payment Processing

  • FSF may rely on third-party vendors for certain services, such as payment processing, compliance checks, or expedited filings.

  • Technical issues, outages, or backlogs at these providers may delay Client orders.

Client Responsiveness & Communication

  • If additional documentation, verification, or clarification is needed, FSF will contact the Client via email or the User Panel.

  • Delays in responding may result in indefinite processing extensions.

  • Clients are responsible for monitoring their email and User Panel to ensure compliance deadlines are met.

Business Hours & Support Availability

  • FSF's standard business hours are Monday through Friday, 9:00 AM – 5:00 PM EST, excluding federal holidays.

  • Orders submitted outside business hours or on holidays will be processed on the next available business day.

  • Support inquiries regarding order status must be submitted through the Support Center and will be addressed during normal business hours.

Client Responsibilities & Compliance Obligations

By using FSF's Services, Clients agree to:

  • Submit all required information, documentation, and supporting materials in a timely manner.

  • Meet all government filing deadlines to avoid late fees, penalties, or loss of good standing.

  • Respond promptly to requests for additional information or corrections.

  • Review and confirm the accuracy of all filings before submission.

  • Monitor the status of their filings and compliance obligations through the User Panel.

Failure to Provide Accurate Information May Result In:

  • Processing delays, rejected filings, or additional fees for resubmission.

  • Late penalties imposed by government agencies, for which FSF is not responsible.

  • Potential loss of business entity status, fines, or regulatory enforcement.

No Liability for External Processing Delays

FSF is not responsible for delays, penalties, or legal consequences resulting from:

  • Processing times dictated by government agencies.

  • Errors, omissions, or incomplete submissions by the Client.

  • Delays caused by third-party payment processors or service providers.

  • Client's failure to monitor deadlines or compliance requirements.

Clients assume full responsibility for maintaining compliance and for any late fees or penalties imposed by state or federal authorities.

Expedited & Rush Services

  • Expedited processing options may be available for an additional fee, but government agency processing times still apply.

  • Expedited service does not guarantee same-day or next-day approval, as final processing is subject to government review.

  • If an expedited request is delayed due to state or federal agency backlogs, the Client is not entitled to a refund of the expedited service fee.

Governing Law & Interpretation

  • This section is governed by the laws of the State of Florida.

  • Disputes regarding processing times or service delivery must be submitted through the Support Center before seeking arbitration or legal action.

  • FSF is not liable for damages, losses, or penalties resulting from government agency delays or compliance failures outside our control.

5 – FEES, PAYMENT TERMS & THIRD-PARTY PAYMENT PROVIDERS

Overview

Florida State Filing, LLC ("FSF," "Company," "we," "us," or "our") delivers business filing, compliance, and corporate services that require advance payment prior to processing. By purchasing any FSF service, Users ("User," "Client," "you," or "your") accept the pricing, payment conditions, and non-refundable policy detailed in this section.

FSF utilizes third-party payment processors for secure transactions and may update pricing, payment terms, or accepted payment methods at any time.

Payment Terms & Non-Refundable Fees

All FSF service fees are due in full at the time of order, unless otherwise specified.

Non-Refundable Fees

  • Once a service enters processing, payment is final and non-refundable, except as outlined in Section 6 (Refund & Cancellation Policy).

  • Government fees and third-party service charges are strictly non-refundable.

  • Expedited, rush, and priority service fees are non-refundable once processing begins.

Accepted Payment Methods

  • FSF accepts credit cards, debit cards, ACH bank transfers, PayPal, and other approved third-party payment options.

  • All payments must be made through authorized gateways; FSF does not accept cash, checks, or cryptocurrency.

Payment Timing & Authorization

  • Full payment must be received before FSF will begin processing any order.

  • Clients authorize FSF and its payment processors to charge their selected payment method for the total service amount.

  • If a payment is declined, rejected, or reversed, FSF may suspend or cancel the order until payment is completed.

Third-Party Payment Processors

FSF partners with third-party payment processors (e.g., Stripe, PayPal, ACH services) to process transactions securely.

User Acknowledgment of Third-Party Payment Terms

  • Processing times may vary, and FSF is not responsible for payment delays caused by third-party providers.

  • Payment disputes, fraud alerts, or chargeback requests must be resolved with the payment processor, not FSF.

  • Third-party processors may impose additional transaction fees, which are non-refundable.

By submitting payment, Clients agree to the terms and conditions of the third-party payment provider handling their transaction.

Secure Payment Processing & Data Protection

  • FSF does not store full payment card details; all transactions are processed through PCI-compliant third-party services.

  • Clients should never share payment information via email, phone, or live chat for security reasons.

Pricing, Taxes & Surcharges

FSF reserves the right to change pricing, fees, and applicable taxes at any time without prior notice.

Pricing Adjustments

  • Service fees may be updated due to changes in government filing costs, third-party fees, or operational expenses.

  • Promotional pricing, discounts, or special offers may be limited in duration and subject to eligibility.

Sales Tax & Other Charges

  • Depending on the Client's location, FSF may collect and remit sales tax or other government-imposed taxes.

  • Any surcharges from payment providers (e.g., international transaction or currency conversion fees) are the Client's responsibility.

Currency & Payment Conversions

  • All transactions are processed in U.S. dollars (USD) unless otherwise specified.

  • If payment is made in a foreign currency, conversion rates and fees are set by the Client's bank or payment processor, and FSF is not responsible for exchange rate fluctuations.

Late Payments & Outstanding Balances

Clients must ensure timely and full payment for all services.

Consequences of Late Payments

  • Orders will not be processed until payment is received in full.

  • If an invoice remains unpaid for more than 30 days, FSF may cancel the order or suspend access to services.

  • If a Client owes an outstanding balance, FSF may:

  • a) Impose late fees or interest on overdue amounts.

  • b) Restrict access to future services until the balance is paid.

  • c) Pursue legal action or debt collection to recover unpaid amounts.

Insufficient Funds & Payment Failures

  • If a payment fails due to insufficient funds, expired cards, or bank errors, the Client must provide an alternative payment method within 3 business days.

  • Multiple failed payment attempts may result in service cancellation and additional penalties.

Chargeback & Payment Dispute Policy

To prevent fraudulent disputes and unauthorized reversals, Clients waive the right to initiate chargebacks as described in Section 9 (Chargebacks, Payment Disputes & Penalties).

  • Unauthorized chargebacks may result in financial penalties, account termination, and legal action.

  • All billing disputes must be submitted through the Support Center before filing a chargeback.

Automatic Renewals for Subscription Services

If a Client subscribes to an ongoing service, such as Registered Agent services, the following automatic renewal terms apply:

Recurring Billing Authorization

  • Clients authorize FSF to automatically charge their saved payment method for subscription fees.

  • Subscription renewals will be processed on the due date unless canceled in advance.

Cancellation of Subscription Services

  • Clients must submit cancellation requests at least 7 days before the next billing cycle to avoid renewal charges.

  • No refunds will be issued for past subscription charges once the renewal payment is processed.

Expired or Declined Subscription Payments

  • If a subscription payment fails due to an expired card or insufficient funds, the Client must update payment information within 5 business days.

  • Failure to update payment details may result in service suspension or termination.

No Payment Plans or Deferred Billing

FSF does not offer payment plans, financing, or deferred billing arrangements.

  • All services must be paid in full at the time of order.

  • Partial payments are not accepted unless explicitly agreed upon in writing.

Governing Law & Interpretation of Definitions

  • All payments, fees, and transactions are governed by the laws of the State of Florida.

  • Any disputes regarding payments must be resolved in the courts of Tallahassee, Florida.

  • Clients waive the right to participate in class-action lawsuits related to payment disputes.

6 – REFUND & CANCELLATION POLICY

Overview

Florida State Filing, LLC ("FSF," "Company," "we," "us," or "our") delivers professional business filing, compliance, and corporate support services. Due to the nature of these offerings, all payments to FSF are considered final and non-refundable, except as expressly provided in this Refund & Cancellation Policy.

By using the Website and Services, Users ("User," "Client," "you," or "your") acknowledge that refunds and cancellations are governed by the terms in this section, and all refund requests must be submitted through the official refund process before initiating any dispute or chargeback.

Refund Request Procedure

To maintain transparency and efficiency, Users must adhere to the following steps when requesting a refund:

Initiate a refund request via the User Panel

  • Log in to your account and navigate to "Billing and Payments" → "Request a Refund."

  • Refund requests submitted by email, phone, or chat will not be processed.

Provide all required information

  • Include the order number, transaction date, payment method, and a clear reason for the refund request.

  • Refund requests must be submitted within 7 days of purchase unless otherwise specified.

Processing timeline

  • Refund requests are reviewed and processed within up to 10 business days.

  • Users will receive a confirmation email indicating whether the refund request has been approved or denied.

Failure to follow the official refund request process may result in automatic denial of the request.

Non-Refundable Fees & Services

Due to the immediate nature of many FSF services, the following fees are strictly non-refundable:

State Filing Fees & Government Charges

  • Payments made to state or federal agencies (e.g., Secretary of State, IRS, FinCEN, Sunbiz, etc.) are non-refundable, as these are subject to third-party regulations.

  • If a government agency rejects, delays, or modifies a filing, the fees paid to them remain non-refundable.

Third-Party Service Provider Fees

  • Registered Agent services
  • Annual report filings
  • Beneficial Ownership Information (BOI) reports
  • Corporation reinstatements
  • Name reservations or amendments

Expedited & Rush Services

  • Expedited processing fees are non-refundable once an order has been placed.

  • If a User requests expedited service but the government agency does not process the request on time, FSF is not responsible for external delays.

Custom or Personalized Services

  • Any service requiring manual preparation, document customization, or tailored business consulting is non-refundable once work has begun.

  • This includes:

Subscription-Based Services

Refund Processing & Payment Methods

  • Approved refunds will be processed using the original payment method.

  • Refunds to credit/debit cards or ACH payments may take up to 10 business days to appear in the Client's account.

  • FSF is not responsible for banking delays, currency conversion fees, or third-party processing timeframes.

No Refunds for Dissatisfaction or Buyer's Remorse

Refunds will not be granted for the following reasons:

  • User dissatisfaction with the government agency's response, processing time, or outcome.

  • Failure to read and understand FSF's Terms of Use, Refund Policy, or Service Limitations.

  • Failure to use the purchased service within a reasonable period.

FSF provides clear descriptions of services before purchase, and Users are responsible for understanding the scope of each service before completing payment.

Special Circumstances for Refunds

At FSF's sole discretion, refunds may be considered in exceptional cases, including:

  • Duplicate transactions resulting from technical errors.

  • Incorrect service selection, provided the error is reported immediately.

  • Processing failure caused by a system outage or platform error.

By using the Website and Services, Users ("User," "Client," "you," or "your") agree to follow the dispute resolution process described in this section and waive any right to initiate or join a class-action lawsuit against FSF.

Required Dispute Resolution Procedure

  • Initiate a dispute request via the Support Center.
  • Include a clear explanation of the dispute, supporting documents, and any relevant communications.

  • Allow FSF at least 14 business days to review and attempt to resolve the matter.
  • FSF may request additional information as needed during its review.

  • Engage in good faith efforts to reach a resolution.
  • If a resolution is achieved, both parties must comply with the agreed outcome.

Binding Arbitration Requirement

  • The arbitration will be held in Tallahassee, Florida, unless otherwise required by law.

  • FSF may seek court orders or damages for unauthorized use of its trademarks, copyrights, or proprietary materials.

Defamation or Non-Disparagement Violations

  • Legal action may be taken if a User publicly spreads false or damaging information about FSF.

Website Security or Unauthorized Access

  • Any hacking, cyberattacks, or unauthorized access to FSF's systems may be prosecuted in court.

In these cases, FSF may bypass arbitration and file suit in Florida state or federal courts.

Governing Law & Jurisdiction

This Agreement and any disputes arising from it are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

  • Venue: All court proceedings must be filed exclusively in the state or federal courts of Tallahassee, Florida.

9 – CHARGEBACKS, PAYMENT DISPUTES & PENALTIES

Overview

Because these services often involve immediate processing and third-party filings, all payments to FSF are considered final and non-refundable once processing has started. To prevent misuse and fraudulent disputes, Users ("User," "Client," "you," or "your") are expressly prohibited from initiating chargebacks for valid transactions. By using FSF's Services, you waive your right to file a chargeback with your bank, card issuer, or payment provider for any authorized payment.

If a Client initiates a chargeback or payment dispute in violation of this Agreement, FSF reserves the right to recover losses, impose penalties, and pursue legal remedies.

Chargeback & Payment Dispute Waiver

By making a payment to FSF, you agree not to dispute or request a chargeback for any of the following:

  • Business entity formations and registrations.

  • Annual report and compliance filings.

  • Beneficial Ownership Information (BOI) submissions.

  • Registered Agent appointments and renewals.

  • Any other FSF service, including those fulfilled by third-party partners.

All billing inquiries and refund requests must be submitted through FSF's Support Center before any dispute is raised with a payment provider. Failure to follow this process is a material breach of these Terms.

Refund & Dispute Resolution Process

To resolve payment concerns, Clients must:

  • Submit a formal refund request via the User Panel under "Billing and Payments" in the "Request a Refund" tab.

  • Provide supporting documentation explaining the reason for the refund or correction.

  • Allow up to 10 business days for FSF to review and respond.

  • Cooperate fully with FSF's support team during the resolution process.

If a Client bypasses this process and initiates a chargeback, the penalties in Section 9.4 will apply.

Chargeback Recovery Fees & Financial Penalties

Chargeback Recovery Fee

  • A $500 non-refundable administrative fee will be charged per disputed transaction to cover investigation and processing costs.

Reversal of Chargeback & Account Reinstatement Fee

  • To reinstate an account after a chargeback, the Client must:

  • Repay the full disputed amount plus any processor fees.

  • Pay an additional $250 reinstatement fee before regaining access to FSF Services.

Legal Action Fee & Collection Costs

  • If legal action is necessary to recover losses from a chargeback, the Client agrees to:

  • Pay a $5,000 legal action fee to cover attorney's fees, court costs, and administrative expenses.
  • Reimburse FSF for any additional damages, penalties, or third-party collection costs.

Blacklisting & Service Termination

  • Clients who initiate fraudulent chargebacks may be permanently banned from FSF Services.

  • FSF may report repeat offenders to banks, fraud databases, and credit bureaus.

Chargeback Fraud & Legal Consequences

Submitting a false or fraudulent chargeback is considered fraud under state and federal law. Clients who engage in such conduct:

  • May face civil and criminal penalties for misrepresenting transactions.

  • Can be reported to law enforcement, the Federal Trade Commission (FTC), and financial fraud bureaus.

  • May be subject to a lawsuit in a jurisdiction of FSF's choosing, with all legal fees, damages, and penalties payable by the Client.

FSF will pursue all available legal remedies against those who attempt to defraud the Company.

Prohibited Chargeback Scenarios

Clients agree not to initiate chargebacks in the following situations:

Completed Services

  • If FSF has completed a filing, compliance service, or provided access to a paid feature, the transaction is final.

  • Dissatisfaction with processing times, third-party delays, or government agency timelines does not qualify for a chargeback.

Failure to Read Terms or Policies

  • Clients cannot claim ignorance of FSF's Terms of Use, refund, or billing policies as grounds for a chargeback.

  • All Clients are required to review and accept these terms before purchase.

Voluntary Account Termination or Service Cancellation

  • Clients who close their account, cancel a service, or fail to use a purchased service are not eligible for a refund or chargeback.

Third-Party Payment Failures or Bank Disputes

  • FSF is not responsible for banking errors, declined transactions, or third-party payment failures.

  • Clients must resolve such issues directly with their financial institution or payment provider.

Alternative Payment Dispute Resolution

Prohibited Conduct Under the Non-Disparagement Clause

  • If a User posts a negative statement publicly before seeking resolution, FSF reserves the right to take legal action to enforce this clause.

Publicizing disputes without first seeking resolution through FSF constitutes a material breach of this Agreement.

Legal Consequences for Violating This Clause

If a User engages in prohibited disparagement, FSF may enforce this clause by taking the following actions:

  • FSF may issue a written demand requiring the User to immediately remove or retract false or defamatory statements.

  • Failure to comply within 5 business days may result in further legal action.

Legal Action for Defamation, Libel, or Slander

  • FSF may pursue legal remedies for monetary damages caused by defamatory or false statements.

  • If a court determines that a User intentionally spread false information, FSF may be awarded:

  • Compensatory damages for financial losses due to reputational harm.
  • Punitive damages if malice is proven.
  • Legal fees and court costs incurred during litigation.

Public Retraction Requirement

  • FSF may seek a court order requiring the User to issue a public correction, retraction, or apology.

  • The User may be required to delete or amend negative online reviews, posts, or articles.

Account Termination & Service Restrictions

  • FSF reserves the right to suspend or permanently terminate the User's account without refund.

  • Users engaging in repeated disparagement may be barred from future services.

Reporting to Third-Party Authorities

  • If the disparaging conduct involves false financial claims, FSF may report the User to:

  • Financial institutions and payment processors for fraud investigations.
